The purpose of this book is to reduce the lack of knowledge of International Sales by creating teaching materials which have CISG as their primary focus. The materials present a systematic examination of the difficult issues that arise out of the international sales transaction. In addition to analyzing the usual litigation situations, the materials also present issues concerning lawyers as problem-solvers planning and structuring transactions so as to allocate risks and avoid litigation. The book is designed for a two credit hour course and is built around a series of problems which systematically examine the various provisions of CISG. CISG cases, both U.S. and foreign, are also set forth. However, since many of the foreign cases are not in English, they are often available only as abstracts through UNCITRAL (CLOUT cases) and UNILEX. The book therefore presents the CLOUT and UNILEX abstracts, which are copyrighted by UNCITRAL and the Rome Institute, respectively, and reprinted with permission. Since CISG is a composite of both civil law and common law concepts, also included are readings that explain these civil law concepts, where they arise in CISG. There are also "Legislation Notes" which explain the UCC Article 2 concepts, when the CISG and the UCC are markedly different. However, the focus throughout is on CISG, and the civil law and UCC readings are explanatory.
